Probably, the first country to do that was the United States. Russians "needed and wanted effective advise and technical help from the United States" (Pickering 102). And the most amazing thing was that the United States didn't mind and, actually, wanted to help Russia. But why? Why the United States wanted to help Russians? And I think the answer to that is very simple: the United States realized that America and Russia must not think of each other as natural enemies, but must work together to make more peaceful world, even if they were ready to destroy each other not that long ago. United States needed Russia as a strong partner in the twenty first century. Russia went through many changes in its economy since the Russian Federation took over the Soviet Union. The increase in temperature increases the amount of collisions between particles, this fastens the reaction. If a reaction has a low rate that means the molecules combine at a slower speed than a reaction with a high rate. Particles need a minimum amount of kinetic movement if they are going to react when they collide. This is known as Activation energy. The collision theory is the idea that different reactions happen at different rates. Reactions that occur slowly have a lower rate of reaction. Concentration: The concentration of a solution is how strong the solution is. A stronger acid contains more acid particles and less water particles than a weaker acid. In this investigation, I am finding out how concentration affects the rate of reaction between Hydrochloric acid and Sodium Thiosulphate. I am going to measure the rate of reaction when hydrochloric acid is added to sodium thiosulfate. When sodium thiosulfate and Hydrochloric Acid are mixed, a yellow precipitate of sulphur is produced. The solution becomes increasingly difficult to see through as more and more sulphur is formed. This is how I plan to measure the rate of reaction. I will place a paper with a black cross underneath the solution and will stop the clock when the cross can no longer be seen. I will find out the answer by doing a preliminary test to experiment this, I will then compare and discuss the results in my evaluation then I will also state how this experiment I done could be improved, in my conclusion. But before doing the real experiment I will carry out a preliminary test. What is a Preliminary test? This is a test that is done before the real test. Repeat this process using different concentrations of sodium thiosulpahte solution with water as shown in the table above. 8. Carefully pour the solution into the sink straight after each test. Preliminary Safety: Safety is a key aspect to any experiment. There are a lot of safety issues we must abide when performing this experiment. A key safety aspect was that we covered the top of the conical flask with cotton wool, making sure no gas escapes the air we breathe into as sulphur dioxide; one of the products formed from the experiment is a toxic gas. I also decided to wear goggles to protect my eyes from the acid splashing, squirting or any way entering my eye. Also be sure to tie hair back because if the sodium thiosulphate makes contact with my hair it could dye it blonde (bleach it) or if it comes into contact with my skin it would turn white and peel off. Another precaution to take measure of is wearing gloves to protect your skin as hydrochloric acid is corrosive. Afterwards, when you have done your experiment thoroughly wash away all apparatus used and pour the solution down the sink. Apparatus: 1. ULTRA VIRES DOCTRINE OF COMPANY LAW IN ZAMBIA INTRODUCTION This assignment examines the debate on the legal issues surrounding the abolition of the requirement to submit a Memorandum of Association when applying to incorporate a company under the Zambian Companies Act 1994 cap 388 of the Laws of Zambia. This debate has been on the â€Å"Objects Clause† which used to be a requirement under the old Companies Act 1921 and was to remain as part of the Memorandum of Association thereafter until the company ceased to exist. ORIGINS OF THE OBJECTS CLAUSE A company on incorporation under the Companies Act cap 388 gives it a corporate personality which means that it gains the status of a separate legal entity from its shareholders or members.[1] However, as an artificial person, the company cannot make decisions and as such has to rely on humans to make decisions on its behalf. Therefore, the decisions and actions by the company officers, employees or indeed its agents will be taken to be those of the company which shall bear the liability. As such, as the company is to be regarded as an artificial person, the courts developed the view that its legal capacity had to be limited to its objects[2] and on incorporation to include the objects clause in its memorandum of association[3] which formed part of the company’s constitution. This was with a view of safeguarding the interests of both the shareholders and the creditors by way of the doctrine of ultra vires. In summing up, it can be said that an objects clause is that provision in a companys constitution which provides for the purposes and the power to undertake only the activities for which the company was formed as was the case before the coming into force of the Companies Act cap 388. THE DOCTRINE OF ULTRA VIRES The doctrine of ultra vires[4] refers to those acts or decisions that a company may undertake which are beyond the scope of powers granted by the company’s objects clause in its memorandum of association. Ashbury Carriage Company v Riche (1875) The ACC was an incorporated company under the Companies Act of 1862. Clause 3 of the memorandum that: The objects for which the company is established are to make and sell, or lend on hire, railway carriages and wagons, and all kinds of railway plant, fittings, machinery, and rolling-stock; to carry on the business of mechanical engineers and general contractors; to purchase and sell, as merchants, timber, coal, metals, or other materials; and to buy and sell any such materials on commission, or as agents. The company agreed to provide Richie and his brother with finance for the construction of a railway in Belgium but later repudiated the agreement. Richie sued for damages. Held That the contract was void and that ratification, even if it had taken place, would have been wholly ineffective. PRESENT LAW Unlike before, the current Companies Act cap 388, does not have a mandatory requirement for companies incorporated under it to have a memorandum of association which should contain the objects clause. POWERS AND DUTIES OF DIRECTORS The Companies Act Cap. 388 provides under section 215 that: (1) The business of a company shall be managed by the directors, who may pay all expenses incurred in promoting and forming the company, and may exercise all such powers of the company as are not, by this Act or the articles, required to be exercised by the company by resolution. (3) Without limiting the generality of subsection (1), the directors may exercise the powers of the company to borrow money, to charge any property or business of the company or all or any of its uncalled capital and to issue debentures or give any other security for a debt, liability or obligation of the company or of any other person. VALIDITY OF ACTS However, section 23 provides that â€Å"No act of a company, including any transfer of property to or by a company, shall be invalid by reason only that the act or transfer is contrary to its articles or this Act† seems to be a contradiction to sections 7 and 22. THE ARTICLES OF ASSOCIATION Before the 1994 Act, the articles of association where classed as being inward-looking and having a purpose of setting out the rules governing the running of the company. The articles hence formed an incorporated company’s constitution[5] which may deal with any matters of the company operations. However, the present Act does not, as stated above, make it mandatory for a company to submit a memorandum of association but provides under section 7 as follows: (1) A company may have articles regulating the conduct of the company. (2) The articles may contain restrictions on the business that the company may carry on. This means that there is no need of an objects clause to be included in the articles of association so as to restrict the business operations to conform to the objects and indeed should not specify its general nature of the company business. This assertion can also be inferred from section 7(4) which provides that â€Å"a company on incorporation may adopt the regulations of the Standard Articles† which do not contain a provision for the general nature of the business to be undertaken or indeed any restrictions. Furthermore, section 7(2) provides that ‘the articles may contain restrictions on the business that a company may carry on’, thus departing from the traditional role of covering mainly issues to do with the internal management of the company for which articles of association are often known for. Therefore, it could be inferred from this section that a company on incorporation may restrict its nature of business to be undertaken as agreed by the shareholders. This inference is asserted to by section 22(3) of the Act which provides that â€Å"A company shall not carry on any business or exercise any power that it is restricted by its articles from carrying on or exercising, nor exercise any of its powers in a manner contrary to its articles.† However, the restrictions that prohibit an incorporated company from carrying on any business in its articles of incorporation are on the preferences of the shareholders and as such the doctrine of ultra-vires whilst not being abolished is not mandatory. Therefore, where a company decides to place some business restrictions in its articles of association then that company is prohibited from carrying on any business or exercising any power that it is restricted by its articles. NOTICE NOT PRESUMED 24. No person dealing with a company shall be affected by, or presumed to have notice or knowledge of, the contents of a document concerning the company†¦.. This means that the interests of the third party who deals with a company is entitled to assume that it has the power to do anything it wishes are not affected[6] unless he was actually aware (notice or knowledge) of the restrictions. Therefore, section 24 basically abolishes the ultra vires rule against third parties who have no knowledge of the company’s objects and are meant to assume that the director, agent or company employee they deal with has the power to make decisions. This has been acknowledged in the case of Freshint Ltd Others v Kawambwa Tea Company [2008] ZMSC 26 at (763) where it was held that â€Å"in practice most people dealing with companies rely on the rule in Turquand’s case and do not bother to inspect the articles. †¦Ã¢â‚¬ ¦ The company’s authorized agents bound the company to comply with the contract and such liability cannot be avoided†¦Ã¢â‚¬ ¦. A company †¦..may not assert against a person dealing with the company or with any person who has acquired rights from the company that- (a) any of the articles of the company has not been complied with; (b) a shareholder agreement has not been complied with; (c) the persons named in the most recent annual return or notice under section two hundred and twenty-six are not the directors of the company; (d) the registered office of the company is not an office of the company; (e) a person held out by a company as a director, an officer or an agent of the company has no authority to exercise the powers and perform the duties that are customary in the business of the company or usual for such a director, officer or agent; (f) a document issued by any director, officer or agent of the company with actual or usual authority to issue the document is not valid or genuine; or APPLICATION FOR INCORPORATION Section 6 2(i) provides that an application for incorporation shall be in the prescribed form and shall specify †¦Ã¢â‚¬ ¦Ã¢â‚¬ ¦. the nature of its proposed business†¦.. This means that all the features which could be found in the memorandum of association have now been incorporated into the Articles of Association including but not limited to: (a) The Name Clause; (b) The Objects Clause; (c)Each subscriber confirming their intention to form a company (d)Each member also agrees to take at least one share (e)Physical address of the office to be the registered office CONCLUSION This argument hence concludes that the requirements for the objects clause have actually been retained in through both the articles of association and Companies Form 2 which requires that the applicants specify the general nature of business to include the principal business and any other business (section 2). It could further be concluded that the filing of Form 2 re-enforces the notion that the doctrine of ultra vires has been retained in Zambia through the provision at section 3 that, â€Å"The articles restrict the business that the company may conduct as follows† after which part these restriction will be specified. Finishing up some back to school shopping, I was on a quest for jeans, and I knew the place to get them. My last two favorite pairs were from Abercrombie and Fitch, and I was planning on buying the same kind once again. Happy and relieved that I would not spend the afternoon ransacking the mall for one pair of jeans, I entered the store to the pulsating beat of techno dance music. In front of me was the teenage Mecca of what is truly hip -- the first thing I noticed were the life-size pictured that covered the walls -- half-clad muscular and glistening young men, frolicking around with pouty faced but beautiful young women who were wearing either size 2 short shorts with bikini tops or 3 layered sweaters. The tables were covered with overpriced shorts, shirts, and sweaters, strewn about by desperate customers searching for the perfect outfit. The sales people wh o roamed the floors were definitions of cool themselves -- ranging from age 16-22, they modeled their employee discounts in a haughty way which encouraged the customers to strive for their ultra-hip look. And strive the customers did. What was the most noticeable upon entering the store (besides the blaringly loud music which made me wonder if I was at a clothing store or a dance club) were the herds of desperate young men and women, who seemed to range from age 12-25, strutting around the store and searching for anything that had the name A&F on it. I can only imaging how many nights of baby-sitting it would take some of these eager teenagers to buy one sweater. The young custome... ...r yourself and don't allow anyone else to decide for you. Even more important than the clothes you wear is how you choose to live your life -- a choice that is entirely your own and no one else's. No store can choose a "lifestyle" for you, and no one should talk you into believing that drinking, having sex, or anything else can make your life better than it already is. In their desperate attempt to sell their products, Abercrombie and Fitch has forgotten the individuality of the word "lifestyle". While claming that underage drinking and just the right outfit will make your life better, they forget that it is impossible to ever change your individual persona, or who you truly are. Comparing and Contrasting the Epics of Homer and Virgil's Aeneid Books I and II of Aeneid are an account of Virgil's adventures narrated by him. He includes the actions of the gods in his point of view. The tone of the epic is tragic and sympathetic. Books I-IV is Aeneas wanderings. "In the first half of the epic, Aeneas tells the story of the siege of Troy and his escape, causing Dido to love him. Venus and Juno contrive to isolate Dido and Aeneas in a cave during a hunting trip, and there the two lovers consummate their affair. Aeneas leaves Carthage for Italy at Mercury's prodding, causing the heartbroken Dido to kill herself. There is a simile in Book I of Aeneas as a hunter of deer and in Book IV where he is a figurative hunter of Dido. There are many recurring words in the Aeneid. There are also no repetitions as with Homer. The are many parallels in the epics of Homer and Virgil. The description of the storm in the Aeneid reminded me of the Odyssey. Aeneas watches as the storm approaches and throws his ship off course. Poseidon, the god of storms at sea, throws Odysseus ship off course many times. Both Aeneid and Odyssey make reference to their mothers. There are also various disguises in both epics. In choosing the right school, students should think about what they want to achieve and what they want to become in life. They should also consider practical things like the cost of studying in a particular school. Entrepreneurial Self-Efficacy Essay

Does entrepreneurial self-efficacy distinguish entrepreneurs from managers? Self-efficacy is an individual’s cognitive estimate of his or her â€Å"capabilities to mobilize the motivation, cognitive resources and courses of action needed to exercise control over events in their lives† (Wood & Bandura 1989). One important effect of self-efficacy is on the chice of behavior settings, where individuals tend to choose situations in which they anticipate high personal control but avoid situations in which they anticipate low control. Starting one’s own business is often described as purposive and intentional career choice. Although there can be a wide variety of contextual as well as individual factors that influence the entrepreneurial choice, the role of entrepreneurial self-efficacy has been emphasized as a key antecedent . Bandura (1977b. 1986) distinguished his social learning theory from many traditional psychological theories by emphasizing reciprocal causation among cognition, behavior and environment, where we found that the notion of reciprocal causation is important in understanding self-efficacy and its determinants and effects. One of the researches conducted on the effects of self-efficacy found that self-efficacy is the most effective predictor of performance. This study had shown that people with high self-efficacy have more intrinsic interest in the tasks, are more willing to expend their effort and show more persistence in the face of obstacles. As a result, they perform more effectively. Performance and performance accomplishments are also considered to be determinants of self-efficacy. And the self-efficacy affects performance through interest, motivation and perseverance, whereas performance provides feedback information on the basis of which self-efficacy is further evaluated and modified. Concerning the Expectancy theory and self-efficacy we find that self-efficacy is about the execution of action, not its outcome. It is about all the internal factors that bear influence on the execution of actions, where a low self-efficacy may mean a belief that one cannot execute the behavior because one does n ot have the required cognitive and emotional abilities to mobilize effort. Whereas self-efficacy is a broader concept than effort-performance expectancy, it is considered more specific than locus of control, belief-based personality variable. Self-efficacy can be affected by two important distinctions: First: locus of control measures not only behavioral but also outcome control, while sel-efficacy concerns only behavioral control. Secondly: internal versus external locus of control is generalized construct covering a variety of situations, while self-efficacy is task specific, examining the individual’s conviction that he or she can perform a specific task at a specific level of expertise. Bandaru (1982) maintained that although self-efficacy is task specific, it can also be generative, that is self-efficacy with respect to one task may be generalized to another task. Regardless of the specificity of the task domain, assessment of efficacy has to be at the specific task level to maintain its predictive power. According to Gist (1987 p.481), he reflected that â€Å"it would be more promising to generalize self-efficacy perceptions by aggregating across a number of related but domain specific measures than by attempting to devise a broad omnibus test†. One of the most important ways of measuring self-efficacy of a broader domain is to develop a conceptual framework of task requirements on the basis of which self-efficacy of a domain is aggregated from self-efficacy of various constituent sub domains. The self-efficacy perspective is highly appropriate for the study of the entrepreneur. Where the entrepreneur self-efficacy (ESE) refers to the strength of an individual’s beliefs that he or she is capable of successfully performing the roles and tasks of an entrepreneur. For its effect on behavior choice and performance, self-efficacy is widely claimed to have greater predictive power than constructs that lack task-specificity. This implies that ESE should distinguish entrepreneurs better than do global personality traits. According to several authors and researchers, there are six entrepreneurial roles were identified, which are: innovator, risk taker and bearer, executive manager, relation builder, risk reducer and goal achiever.
